A proposed £1.6 billion acquisition of ITV’s media and entertainment division by Sky is facing a formal public-interest review in Britain. Culture Secretary Lisa Nandy has issued an intervention notice, introducing another stage of scrutiny before the transaction can proceed.

The review will examine issues including media plurality, which concerns the diversity of ownership and voices available to audiences. Competition and media regulators have been asked to report by 27 January 2027.

The intervention is not a finding that the transaction breaches the law. It creates a process through which regulators can assess whether combining the businesses would affect competition or the range of news and entertainment available to the public.

The case demonstrates why media transactions can attract scrutiny beyond price and shareholder value. For broadcasters and investors, the question is not simply whether an acquisition makes commercial sense, but whether it would alter the structure of a market in which access to information has a recognised public interest.
